Taiga HEAT Compass Beta Terms of Service

Our Mission

is to help Northern gardeners grow food with confidence, so they can cultivate resilience and self-sufficiency in their homes and their neighborhoods.

Effective Date: August 20, 2026

1. INTRODUCTION

These Beta Terms of Service ("Terms") govern your participation in the Taiga HEAT Compass™ beta program ("Beta Program") operated by Taiga Farm & Seed LLC, a Minnesota limited liability company ("Taiga," "we," "us," or "our"). By signing up for and participating in the Beta Program, you ("you," "your," or "Beta User") agree to be bound by these Terms.

If you do not agree to these Terms, you cannot participate in the Beta Program.

2. DESCRIPTION OF BETA SOFTWARE

Taiga HEAT Compass™ is a food growing intelligence platform designed first for Northern gardeners. Where other gardening apps run on the calendar, Taiga HEAT Compass runs on the four forces that govern every growing season — heat accumulation, earth temperature, available frost-free days, and twilight hours. The software provides gardening decision support based on Taiga's proprietary HEAT Compass™ framework, including but not limited to crop selection guidance, planting timing recommendations, growing season planning, and gardening decision support (collectively, the "Beta Software").

The Beta Software is provided in beta form, which means it is under active development and may contain bugs, errors, incomplete features, or inaccurate information.

3. BETA USER RESPONSIBILITIES

As a Beta User, you agree to:

(a) Use the Beta Software only for its intended purpose of personal gardening decision support;

(b) Provide honest, constructive feedback on your experience through surveys, interviews, or in-app feedback mechanisms when requested by Taiga;

(c) Report bugs, errors, or issues you encounter to help improve the Beta Software;

(d) Not share your beta access credentials with others or grant unauthorized access to the Beta Software;

(e) Not attempt to reverse engineer, decompile, or extract the source code, algorithms, or proprietary logic of the Beta Software;

(f) Not use the Beta Software for any commercial purpose, resale, or competitive intelligence gathering;

(g) Comply with all applicable laws and regulations while using the Beta Software.

4. INTELLECTUAL PROPERTY

The Beta Software, the Taiga HEAT Compass™ framework, the H-E-A-T methodology, all associated content, and all trademarks including but not limited to TAIGA FARM & SEED, THE HEAT COMPASS, CULTIVATE THE NORTH, and GROW BOLDLY are the exclusive property of Taiga Farm & Seed LLC.

Your participation in the Beta Program grants you a limited, non-exclusive, non-transferable, revocable license to use the Beta Software for the sole purpose of personal beta testing and feedback. This license does not transfer any ownership rights to you.

You retain ownership of any personal gardening data, records, or content you input into the Beta Software. However, you grant Taiga a perpetual, royalty-free license to use aggregated, de-identified data derived from Beta User activity to improve the Beta Software and develop Taiga's products and services.

5. NO WARRANTIES

THE BETA SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TAIGA DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Taiga does not warrant that the Beta Software will be error-free, uninterrupted, secure, or that any defects will be corrected. Taiga does not warrant the accuracy, completeness, or reliability of any gardening recommendations, crop selection guidance, growing information, or other information provided through the Beta Software.

Gardening involves inherent risks including but not limited to crop failure, weather variability, soil conditions, pest and disease pressure, and other factors beyond the Beta Software's ability to predict. You use the Beta Software at your own risk and are solely responsible for your gardening decisions and outcomes.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAIGA FARM & SEED LLC, ITS OWNERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST CROPS, LOST HARVEST VALUE, LOST TIME, LOST DATA, OR ANY OTHER LOSSES ARISING FROM YOUR USE OF OR INABILITY TO USE THE BETA SOFTWARE, EVEN IF TAIGA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TAIGA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE BETA PROGRAM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

7. TERM AND TERMINATION

The Beta Program begins when you receive access credentials from Taiga and continues until Taiga concludes the Beta Program or terminates your participation.

Taiga may terminate your participation in the Beta Program at any time, with or without cause and with or without notice.

You may terminate your participation in the Beta Program at any time by notifying Taiga at grow@taigafarmandseed.com.

Upon termination, your right to access and use the Beta Software immediately ceases. Provisions of these Terms that by their nature should survive termination (including Intellectual Property, No Warranties, Limitation of Liability, and Governing Law) shall survive.

8. CHANGES TO BETA SOFTWARE AND TERMS

Taiga may modify, add, remove, or discontinue features of the Beta Software at any time without notice. Taiga may also update these Terms from time to time. Material changes will be communicated to Beta Users via email. Your continued participation in the Beta Program after such changes constitutes acceptance of the updated Terms.

9. CONFIDENTIALITY

The Beta Software and any non-public information you receive as a Beta User (including but not limited to the software's features, functionality, algorithms, roadmap, and business plans) is confidential information of Taiga. You agree not to disclose, publish, or share this confidential information with third parties without Taiga's prior written consent. You may share your general experience as a beta user (e.g., that you are participating in the beta) but not the specific details of the software's functionality or non-public features.

10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles. Any disputes arising from or related to these Terms or the Beta Program shall be resolved in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts.

12. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Taiga regarding the Beta Program and supersede any prior agreements or communications.
